We're looking for a Corporate Paralegal to be at the forefront of a dynamic in-house legal department in Lynwood, WA. This position offers an excellent salary, bonuses, vacation, and 100% benefits coverage!

In this role you'll:

  • Efficiently manage the organization, preparation, and submission of legal documents such as Articles of Incorporation/Organization and state qualifications.

  • Facilitate smooth transactions by preparing vital documents like closing statements and conducting UCC searches and filings.

  • Ensure compliance by diligently filing annual reports across multiple states and maintaining meticulous capitalization tables, stock, and options ledgers.

  • Spearhead the organization of documents and closing books for high-stake corporate transactions like mergers and acquisitions.

  • Proactively develop, monitor, and update essential checklists, conduct thorough research and filings, and maintain both hard copy and electronic minute books, data rooms, and matter files.

Here's what we're looking for in our ideal candidate:

  • A college degree and/or paralegal certificate to demonstrate your foundational knowledge.

  • 3-5 years hands-on experience in legal departments or law firms, showcasing your expertise.

  • Proficiency in Microsoft Word, Excel, and Outlook, essential for seamless operations.

  • Excellent verbal, written, and interpersonal skills, crucial for effective communication.

  • Exceptional organizational skills and meticulous attention to detail to ensure accuracy.

Preferred qualifications include:

  • Experience working in an in-house legal department, offering valuable insights into corporate operations.

  • Familiarity with obtaining and maintaining contractor's licenses nationwide, streamlining regulatory compliance.

  • Expertise in registering companies with various Secretary of State offices, ensuring legal compliance.

  • Proficiency in preparing annual resolutions and director and shareholder resolutions as required.

  • Experience in corporate database entry and maintenance, facilitating efficient data management.
